1. Definitions

In these Terms and Conditions, the following definitions apply:

"Agreement" refers to these Terms and Conditions along with any service-specific terms. "Company," "we," "our," or "us" refers to oasis cones, a business consulting firm registered in Malaysia. "Client," "you," or "your" refers to any individual or organization that engages our services or uses our website. "Services" refers to the consulting services offered by oasis cones, including the Strategic Renewal Program, Clarity Workshop Series, and Refresher Consultation. "Website" refers to our website located at oasiscones.biz.

2. Acceptance of Terms

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use our services. If you are engaging our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

3. Service Description

oasis cones provides business consulting services designed to help organizations gain clarity, renew their strategic approach, and navigate complex business challenges. Our services include:

The Strategic Renewal Program, a comprehensive engagement spanning six to nine months designed for organizations seeking thorough organizational assessment and revitalization. The Clarity Workshop Series, facilitated workshop sessions addressing specific organizational challenges or decision-making needs. Refresher Consultation, concentrated engagement sessions providing focused perspective and guidance.

The specific scope, deliverables, and timeline for each engagement will be outlined in a separate service agreement or proposal provided before commencement.

4. Service Engagement

Engagement of our services begins upon mutual agreement of the service scope and terms, typically documented in a service proposal or letter of engagement. We reserve the right to decline any engagement request at our discretion.

All service engagements are subject to availability. We will make reasonable efforts to accommodate your preferred schedule, but specific dates and times cannot be guaranteed until confirmed in writing.

5. Fees and Payment

Service fees are quoted in Malaysian Ringgit (RM) and will be specified in the service proposal. Current indicative pricing is as follows: Strategic Renewal Program at RM 8,500, Clarity Workshop Series at RM 4,300 per workshop, and Refresher Consultation at RM 2,700.

Payment terms will be specified in the service agreement. Typically, a deposit is required before commencement, with the balance due upon completion or according to an agreed payment schedule.

Fees are exclusive of any applicable taxes. If goods and services tax (GST) or other taxes are applicable, they will be added to the quoted fees.

6. Cancellation and Refunds

Cancellation policies vary by service type and will be detailed in your service agreement. Generally, cancellations made more than fourteen (14) days before a scheduled session may be eligible for rescheduling or partial refund. Cancellations made within fourteen (14) days may forfeit the deposit or applicable fees.

We reserve the right to reschedule or cancel sessions due to unforeseen circumstances. In such cases, we will offer alternative dates or a full refund of fees paid for the affected sessions.

7. Client Responsibilities

To facilitate effective consulting engagement, clients agree to provide accurate and complete information relevant to the engagement, designate appropriate personnel to participate in sessions and workshops, make timely decisions and provide feedback as required, maintain confidentiality of proprietary methodologies and materials shared during the engagement, and communicate any concerns or issues promptly.

The success of consulting engagements depends significantly on client participation and commitment. We cannot be held responsible for outcomes affected by incomplete information or lack of client engagement.

8. Intellectual Property

All methodologies, frameworks, tools, templates, and materials developed by oasis cones remain our intellectual property. Clients are granted a limited, non-exclusive, non-transferable license to use such materials for their internal purposes only.

Clients may not reproduce, distribute, modify, or create derivative works from our proprietary materials without prior written consent. Client-specific deliverables created during an engagement become the property of the client upon full payment.

9. Confidentiality

We treat all client information with strict confidentiality. Information shared during consulting engagements will not be disclosed to third parties without client consent, except as required by law.

Both parties agree to maintain confidentiality of proprietary business information exchanged during the engagement. This obligation survives the termination of the consulting relationship.

10. Disclaimers

Our consulting services are provided on an "as is" basis. While we apply professional expertise and reasonable efforts, we do not warrant or represent that our services will achieve specific outcomes or results.

Our services constitute professional consulting advice within our area of expertise. We do not provide legal, financial, accounting, or other specialized professional advice. Clients should seek appropriate professional counsel for such matters.

Any projections, forecasts, or estimates discussed during engagements are based on assumptions and available information at the time and should not be construed as predictions of future performance.

11. Limitation of Liability

To the maximum extent permitted by Malaysian law, oasis cones shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services or these terms.

Our total liability for any claims arising from or related to a specific engagement shall not exceed the fees paid by the client for that engagement. This limitation applies regardless of the theory of liability.

12. Indemnification

You agree to indemnify, defend, and hold harmless oasis cones and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your breach of these terms, your misuse of our services or materials, or your violation of any applicable laws or third-party rights.

13. Termination

Either party may terminate a consulting engagement by providing written notice. The terms of termination, including any applicable fees or refunds, will be as specified in the service agreement.

We reserve the right to terminate services immediately if the client breaches these terms, engages in conduct that could harm our reputation, or fails to make required payments.

14. Governing Law and Dispute Resolution

These Terms and Conditions are governed by the laws of Malaysia. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Malaysia.

Before initiating formal legal proceedings, both parties agree to attempt resolution through good faith negotiation. If negotiation is unsuccessful, the parties may consider mediation as an alternative dispute resolution method.

15. General Provisions

These Terms and Conditions constitute the entire agreement between you and oasis cones regarding the subject matter herein. If any provision is found unenforceable, the remaining provisions shall continue in effect. Our failure to enforce any right or provision shall not constitute a waiver.
